Acceptable Use Policy

Effective date: March 9, 2026

1. Overview

This Acceptable Use Policy ("AUP") governs your use of the Nouvel platform, operated by Sonautic Inc., doing business as Nouvel ("Nouvel," "Company," "we," "us," or "our"), including the website at nouvel.ai, the application at app.nouvel.ai, all associated APIs, and all related services, features, content, and functionality (collectively, the "Service").

Nouvel uses artificial intelligence to produce synthetic media, including video, audio, voiceovers, scripts, captions, images, and digital human likenesses. We take the responsible use of this technology seriously. By creating an account or using the Service, you agree to comply with this policy in full. This AUP is incorporated into and subject to our Terms of Service. In the event of any conflict between this AUP and the Terms of Service, the Terms of Service shall control.

This AUP applies to all content generated, uploaded, published, or distributed through the Service, including content published through automated scheduling and third-party platform integrations.

2. Synthetic Media and Custom Actor Obligations

2.1 Nature of Generated Content

All video content, voice synthesis, performer likenesses, and creative assets generated by the Service are AI-generated synthetic media. They are produced by artificial intelligence models and do not depict real individuals unless you have separately provided and authorized the use of a real individual's likeness through the custom actor feature.

2.2 Custom Actor Uploads — Consent Requirements

When you upload images of individuals as custom actors, you represent and warrant that:

(a) You have obtained explicit, documented, written consent from every identifiable individual depicted, specifically authorizing the creation and distribution of AI-generated synthetic media using their likeness;

(b) Such consent: (i) was signed physically or electronically by the depicted individual; (ii) specifically references AI-generated or synthetic media (generic model releases or photography releases are insufficient); (iii) describes the scope of permitted use, including commercial advertising; and (iv) has not been revoked;

(c) You will retain proof of consent for the duration of content distribution plus two (2) years and will provide it to us within forty-eight (48) hours of our request;

(d) Every individual depicted is at least eighteen (18) years of age, and you have verified their age through a reliable method;

(e) The uploaded images do not depict public figures, celebrities, politicians, government officials, or other notable individuals unless you possess a specific, written commercial license or endorsement agreement with that individual that expressly permits AI-generated synthetic media use; and

(f) You have not and will not upload images obtained without the subject's knowledge, images sourced from social media without permission, or images of individuals who have withdrawn their consent.

Violation of this Section 2.2 is grounds for immediate and permanent account termination, content removal, and referral to law enforcement where applicable.

2.3 Platform-Provided Actors

Nouvel provides a library of platform-managed virtual actors for use in content generation. These actors are AI-generated characters that do not depict real individuals. Your use of platform-provided actors is subject to the terms of your subscription plan and this AUP.

3. Prohibited Content

You may not use the Service to generate, upload, store, publish, distribute, or promote content that:

3.1 Impersonates Real Individuals

Creates synthetic likenesses, voices, or digital replicas of real individuals — living or deceased — without their (or their estate's) explicit, documented consent as described in Section 2.2, or that could reasonably be mistaken for a genuine depiction of a real individual without clear disclosure that the content is AI-generated.

3.2 Constitutes Non-Consensual Intimate Imagery (NCII)

Depicts, suggests, or implies sexually explicit, intimate, or nude content involving any individual — whether real or fictitious — without that individual's explicit consent. This prohibition applies regardless of whether the depicted individual is identifiable and includes content that sexualizes individuals using AI-generated modifications to non-sexual source images. We will remove NCII within forty-eight (48) hours of a valid report and permanently terminate the responsible account. Reports of NCII receive priority handling.

3.3 Targets or Exploits Minors

Depicts, targets, sexualizes, or exploits individuals under the age of eighteen (18) in any manner, including generating content featuring minors, content directed at minor audiences for manipulative purposes, or content that places minors in commercial advertising contexts without verifiable parental or guardian consent.

3.4 Deceives or Misleads

Presents AI-generated content as genuine human-created content, real footage, authentic user testimonials, real endorsements, or real customer reviews without disclosure. This includes using AI-generated actors as purported real customers, users, patients, or endorsers of any product or service.

3.5 Interferes with Democratic Processes

Is designed to interfere with, manipulate, or undermine democratic processes, elections, referenda, or public discourse through deceptive AI-generated media. This includes creating synthetic media that falsely depicts political candidates, elected officials, election-related events, voting procedures, or government actions.

3.6 Contains Illegal Material

Violates any applicable federal, state, local, or international law or regulation, promotes illegal activity, or facilitates fraud, identity theft, extortion, blackmail, money laundering, or any other criminal activity.

3.7 Harasses, Threatens, or Discriminates

Targets individuals or groups with abusive, threatening, intimidating, stalking, or discriminatory content, or that constitutes bullying, doxxing, or retaliation.

3.8 Promotes Violence or Hate

Incites, glorifies, or promotes violence, terrorism, self-harm, or suicide, or promotes hatred, hostility, or discrimination against individuals or groups based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, age, disability, veteran status, or any other legally protected characteristic.

3.9 Infringes Intellectual Property

Uses copyrighted material, trademarks, trade secrets, or proprietary content belonging to third parties without proper authorization. This includes using scraped product images, brand logos, or marketing materials from third-party websites for which you do not hold the necessary commercial rights or licenses.

3.10 Makes False or Unsubstantiated Health, Medical, or Financial Claims

Makes health, medical, therapeutic, curative, diagnostic, or treatment claims that are not substantiated by competent and reliable scientific evidence, or that violate FTC health claim guidelines, FDA regulations, or equivalent regulations in your jurisdiction. This includes unsubstantiated claims about supplements, wellness products, weight loss products, skincare products, fitness equipment, and food products. Similarly, you may not make false or misleading financial claims, including unsubstantiated income claims, investment return guarantees, or deceptive pricing representations.

3.11 Violates Regional, Cultural, or Religious Sensitivities

Violates applicable regional, cultural, or religious laws, norms, or sensitivities, including content that is blasphemous, sacrilegious, or religiously offensive under the laws of any jurisdiction where such content is created, published, or distributed.

4. Synthetic Media Disclosure Requirements

4.1 Your Disclosure Obligations

When distributing content generated by Nouvel, you are solely and fully responsible for complying with all applicable disclosure requirements for AI-generated or synthetic media in every jurisdiction where you distribute such content. You must:

(a) Label all Generated Content as AI-generated, synthetic, or digitally created wherever required by applicable law, regulation, platform policy, or advertising standard;

(b) Follow platform-specific guidelines for AI-generated content on Meta (Instagram, Facebook, Threads), TikTok, YouTube, LinkedIn, Pinterest, Twitter/X, Reddit, and any other distribution channel, including enabling platform-specific AI content flags and labels;

(c) Comply with applicable advertising regulations, including FTC guidelines on endorsements and testimonials, the FTC Act, and equivalent regulations in your jurisdiction;

(d) Not represent AI-generated actors as real customers, users, patients, endorsers, or testimonial providers unless you clearly and conspicuously disclose that the depiction is AI-generated;

(e) Comply with all applicable synthetic media and deepfake disclosure laws in every jurisdiction where you distribute Generated Content, including but not limited to the TAKE IT DOWN Act (P.L. 118-96), state synthetic performer transparency laws (including New York's requirements effective June 2026), the EU AI Act transparency obligations (effective August 2026), and any other applicable law;

(f) Maintain records of your disclosure and compliance efforts, which you agree to provide to us upon request within ten (10) business days; and

(g) Not remove, obscure, or modify any AI-generated content labels, watermarks, or metadata that we or any distribution platform apply to Generated Content.

4.2 No Legal Advice

Nouvel does not provide legal advice. Our references to specific laws and regulations in this AUP are for informational purposes only and do not constitute legal counsel. You are solely responsible for obtaining independent legal advice regarding your disclosure obligations under applicable law. We make no representation that the Service, Generated Content, or any feature of the Service satisfies the requirements of any particular law or regulation.

Failure to comply with applicable disclosure requirements is a violation of this AUP and may result in immediate account termination.

5. Advertising Standards

Content generated for advertising purposes must comply with all applicable advertising laws and platform policies. You may not use Nouvel to create advertisements that:

(a) Make false, misleading, deceptive, or unsubstantiated claims about any product, service, or result;

(b) Promote prohibited products or services as defined by applicable law and the advertising policies of the platforms where ads will be distributed;

(c) Use deceptive pricing, fake urgency, countdown timers, false scarcity, bait-and-switch tactics, or misleading offers;

(d) Target vulnerable populations — including the elderly, financially distressed individuals, individuals with health conditions, or minors — with manipulative, exploitative, or high-pressure messaging;

(e) Violate the advertising policies of the platforms where ads will be distributed, including but not limited to Meta Advertising Standards, TikTok Advertising Policies, YouTube Advertising Policies, LinkedIn Advertising Guidelines, and Pinterest Advertising Standards;

(f) Make before-and-after claims, transformation claims, or result claims without adequate substantiation and without disclosing material conditions, limitations, and typical results; or

(g) Fail to include any legally required disclosures, disclaimers, or warnings for the advertised product or service category (e.g., financial disclaimers, health warnings, age restrictions).

6. Prohibited Uses of the Platform

In addition to content restrictions, you may not:

(a) Attempt to extract, reverse-engineer, decompile, disassemble, or replicate the underlying AI models, algorithms, training data, model weights, or source code of the Service or any component thereof;

(b) Use automated tools (bots, scrapers, crawlers, or other automated means) to access the Service, except through APIs we expressly provide and authorize;

(c) Circumvent, disable, or interfere with any usage limits, rate limits, subscription restrictions, generation quotas, access controls, security features, or content safeguards of the Service;

(d) Create multiple accounts to circumvent usage limits, free tier restrictions, trial period limitations, or account bans, whether directly or through third parties, proxies, or alternative identities;

(e) Resell, sublicense, redistribute, or provide access to the Service, its features, or its outputs to third parties without our prior written consent, including offering "white-label" or "agency" services using Nouvel's infrastructure without authorization;

(f) Use the Service to develop, train, evaluate, or improve any competing AI model, product, or service, whether directly or through intermediaries;

(g) Interfere with or disrupt the Service, its infrastructure, or the experience of other users, including overloading servers, conducting denial-of-service attacks, or introducing malware;

(h) Share, sell, transfer, or lease your account credentials, API keys, or access tokens to unauthorized third parties;

(i) Distribute malware, spam, phishing materials, or other harmful or deceptive digital materials using the Service or Generated Content;

(j) Submit URLs for processing that you do not own, operate, or have express authorization to use, or submit URLs for the purpose of scraping competitors' proprietary data, bypassing access controls, or violating any website's terms of service or robots.txt directives; or

(k) Use the Service in any manner that could damage, disable, overburden, or impair its operation or that violates any applicable law, regulation, or third-party right not specifically enumerated above.

7. Automated Publishing and Connected Accounts

7.1 Your Responsibility

When you connect social media accounts and use scheduling, queue, or automated publishing features, you remain solely and fully responsible for all content published to your connected accounts, regardless of whether the content was published manually or through automated means. Scheduling or automating publication does not relieve you of any obligation under this AUP, our Terms of Service, applicable law, or the policies of the receiving platform.

7.2 Platform Compliance

You are responsible for ensuring that all content published through the Service complies with the terms of service, community guidelines, content policies, and advertising standards of each platform to which content is published. We are not responsible for any account suspension, content removal, advertising rejection, or other action taken by a third-party platform in response to content you publish through the Service.

7.3 Review Before Publishing

We strongly recommend that you review all Generated Content before scheduling or publishing. AI-generated content is inherently probabilistic and may produce unexpected, inaccurate, or undesirable results, including visual artifacts, inaccurate text, or content that does not align with your brand standards.

8. Organization and Team Account Responsibilities

If you create or administer an Organization account:

(a) You are responsible for the conduct and compliance of all team members within the Organization;

(b) You must ensure that all team members are aware of and comply with this AUP;

(c) You must promptly remove access for team members who leave the Organization, are terminated, or violate this AUP; and

(d) The Organization and the administrator are jointly and severally liable for any violation of this AUP by any team member within the Organization.

9. Content Review and Enforcement

9.1 Our Rights

We reserve the right, in our sole and absolute discretion, to:

(a) Review, monitor, scan, filter, or screen any User Content or Generated Content for compliance with this AUP, applicable law, or our internal policies, at any time, using automated tools, manual review, or a combination thereof. We do not guarantee that all violating content will be detected or prevented;

(b) Remove, disable access to, or take down any User Content or Generated Content that we believe violates this AUP, applicable law, third-party rights, or our content standards, or that is otherwise objectionable, without prior notice;

(c) Demand that you immediately cease using, publishing, or distributing any Generated Content that we determine violates this AUP or applicable law, and you agree to comply with any such demand within twenty-four (24) hours of receipt;

(d) Immediately suspend or terminate your account and your right to use the Service, without notice or liability, if we determine that you have violated or are likely to violate any provision of this AUP;

(e) Permanently ban you from creating new accounts or accessing the Service in any capacity, including through third parties, proxies, or alternative identities, following a termination for cause under this AUP;

(f) Report violations to law enforcement or other governmental authorities when we believe, in good faith, that such reporting is required or advisable;

(g) Cooperate with law enforcement investigations, court orders, subpoenas, and legal processes relating to your use of the Service or Generated Content; and

(h) Retain records of User Content, Generated Content, and account activity as necessary to comply with legal obligations, resolve disputes, or enforce this AUP and our Terms of Service, even after account termination.

9.2 No Obligation to Monitor

We may implement content review systems at our discretion. However, we do not assume any obligation to proactively monitor, pre-screen, or review all content generated or published through the Service. The absence of content review does not constitute approval or endorsement of any content.

9.3 No Waiver

Our failure to enforce any provision of this AUP at any time does not constitute a waiver of that provision or any other provision. We may enforce this AUP selectively, in our sole discretion, without waiving our right to enforce any other provision at any time.

9.4 Third-Party Model Safety

AI models used by the Service (including those provided by fal.ai, Anthropic, ElevenLabs, and Google) may include their own safety filters and content restrictions. Content that is blocked, flagged, or modified by third-party model safety systems does not constitute a violation of this AUP by us, and we have no obligation to override or circumvent such safety systems on your behalf.

10. Reporting Violations

10.1 How to Report

If you become aware of content generated, published, or distributed through Nouvel that violates this policy, applicable law, or your legal rights, please report it promptly using the appropriate channel:

10.2 Response Commitments

We will acknowledge all reports within seventy-two (72) hours. For reports involving non-consensual intimate imagery, we will prioritize review and aim to take action within forty-eight (48) hours, consistent with the requirements of the TAKE IT DOWN Act. We investigate all reports in good faith and take appropriate action, which may include content removal, account suspension, or referral to law enforcement.

10.3 False Reports

Submitting knowingly false, fraudulent, or frivolous reports is a violation of this AUP.

11. Consequences of Violation

11.1 Graduated Response

Violations of this policy may result in, at our sole discretion:

(a) Warning and required remediation — including mandatory removal of violating content within a specified timeframe;

(b) Temporary suspension of account access for a period proportionate to the severity of the violation;

(c) Permanent termination of your account and prohibition from creating new accounts;

(d) Content removal and takedown of any or all Generated Content associated with your account;

(e) Reporting to law enforcement or other governmental authorities where required or advisable under applicable law; and

(f) Pursuit of legal remedies, including injunctive relief and damages.

11.2 Immediate Termination

The following violations will result in immediate account termination without warning:

  • Non-consensual intimate imagery (NCII)
  • Content that exploits, sexualizes, or endangers minors
  • Content designed to interfere with elections or democratic processes
  • Use of custom actors depicting individuals without verifiable consent
  • Use of the Service to facilitate fraud, identity theft, or other criminal activity
  • Repeated or egregious violations of any provision of this AUP

11.3 Indemnification

Violations of this AUP may trigger your indemnification obligations under our Terms of Service (Section 17), including your obligation to indemnify, defend, and hold harmless Sonautic Inc. and its officers, directors, employees, and agents from and against any claims, damages, fines, penalties, settlements, costs, and expenses (including reasonable attorneys' fees) arising from your violation of this AUP or any applicable law.

12. Survival

Your obligations under Sections 2 (Synthetic Media and Custom Actor Obligations), 3 (Prohibited Content), 4 (Synthetic Media Disclosure Requirements), 7 (Automated Publishing), and 11.3 (Indemnification) survive termination of your account, these Terms, and this AUP. Content generated or distributed prior to termination remains subject to this policy.

13. Changes to This Policy

We may update this Acceptable Use Policy as the regulatory landscape for AI-generated content evolves and as we develop new features and capabilities. When we make material changes, we will:

(a) Update the effective date at the top of this page;

(b) Post the updated policy on our website; and

(c) Where required by law or where changes materially affect your obligations, notify you by email or through the Service at least fifteen (15) days before the changes take effect.

Your continued use of the Service after changes are posted constitutes acceptance of the revised policy. The previous version of this policy is available upon request.

14. Relationship to Other Policies

This AUP is incorporated into and subject to our Terms of Service. You should also review our Privacy Policy, which describes how we collect, use, and protect your data. In the event of any conflict between this AUP and the Terms of Service, the Terms of Service shall control.
